Welcome to Pay-Yay! By accessing or using our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Introduction

Pay-Yay is a digital platform that allows users to send professional payment requests via WhatsApp and other channels. The service is operated by Ghouer (Pty) Ltd, a company registered in South Africa.

By registering, accessing, or using Pay-Yay, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the service.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract. By using Pay-Yay, you represent that you meet these requirements.

3. Your Account

You are responsible for:

Providing accurate and up-to-date information;

Keeping your login credentials secure;

All activities that occur under your account.

Ghouer is not liable for any loss or damage from unauthorized use of your account.

4. Use of Services

You agree to use Pay-Yay only for lawful purposes. You must not:

Violate any applicable laws or regulations;

Use the service to send fraudulent, misleading, or unauthorized payment requests;

Attempt to reverse-engineer, decompile, or tamper with the platform.

We reserve the right to suspend or terminate your account if you misuse the service.

5. Payment Gateways & Security

Payments made through Pay-Yay are processed via third-party payment gateways. While we use trusted partners with strong security standards, Ghouer does not hold, process, or store card details directly.

All reasonable efforts are made to ensure payment security, but users are responsible for securing their devices and login credentials.

6. Plans & Pricing

Pay-Yay offers tiered subscription plans, each with different features and limits. All pricing is listed in South African Rand (ZAR) and includes VAT unless otherwise stated.

By subscribing to a plan:

You agree to pay the listed monthly fee;

Plans auto-renew monthly unless cancelled;

No refunds will be provided for unused requests or partial months.

For custom or enterprise plans, terms may be outlined in a separate agreement.

7. Trial Periods and Promotions

We may offer free trials or limited-time promotions. These are subject to change and may be withdrawn at any time without notice. Trial access may be limited to one per customer.

8. Termination

You may cancel your subscription at any time via your dashboard or by contacting support. If you breach these Terms, we may suspend or permanently terminate your access without notice.

Upon termination, your data may be retained for legal or operational purposes as required by South African law.

9. Limitation of Liability

To the maximum extent permitted by law:

Ghouer and its affiliates are not liable for indirect, incidental, or consequential damages;

We are not responsible for losses arising from third-party payment processors;

You agree to use Pay-Yay at your own risk.

10. Indemnification

You agree to indemnify and hold harmless Ghouer, its directors, employees, and affiliates from any claims, losses, damages, or liabilities arising out of your use of Pay-Yay or violation of these Terms.

11. Intellectual Property

All content, branding, code, and software associated with Pay-Yay is the property of Ghouer (Pty) Ltd or its licensors. You may not copy, reproduce, or distribute any part of the platform without prior written consent.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website and are effective immediately. Continued use of Pay-Yay after changes means you accept the new Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the South African courts.
